EDIT: ok, i just read your answer.

 

if you restart, instead of shut down, this works or hangs like shut down?

 

can you also try to shut down with CMD?

 

windows logo key + R

 

on command prompt windows digit:

shutdown /s /t 00

 

press enter

 

it will shut down the system immediatly

It reboots fine, no problem.  When I shutdown with CMD, it does the same thing.  Screen is black and looks like it is off, but not actually off.  Power light is lit up.  It seems like it is hibernating, even though I turned that off.  But when you bump the keyboard or mouse, it wont come out.  Won't come on by pressing power button lightly either like it sometimes will in hibernation.  The only way to get it to come back on is to hold the power button down for a minute until it completely turns off and then turn it back on.

ok, i think that something is preventing windows to shutdown properly, maybe a service or some background applicaiton.

 

did you try that?

1. go to power options in control panel
2. go to left side options in what does power button do
3. click on the link "change settings which are currently unavailable"
4. uncheck fast startup option recommended by windows
5. save changes 
6. try to shut down now

I did use msconfig and shutdown all the background programs.  But I will try this way too

Ok I checked mine.  I should mention I am using Windows 7.  Mine does not have the "change settings that are currently unavailable."

apart the power button light, fans are still running when you shut down?

 

can you check if your BIOS is the latest?

Fans are not running.  Just power light on.

ok, i suggest you to check your BIOS version and update it if any newer version is available.

 

if there's no new BIOS, i think it's worth a try to reset CMOS.

 

you must disconnect the power cable from your PC and then open the case, find the internal battery and take it off.

 

wait 5 minutes, put battery back, reconnect the power cable, boot and check if it shut down correctly.

 about to go home for the night.  I am running a lot of updates on it and will also try a BIOS update on it.  Good idea with the CMOS.  I will let you know tomorrow if any of it worked.  Thanks for the advice.

update:  Ran a ton of updates, tried again, still the same problem.  Flashed the bios, which completely screwed it up.  Having to reformat.  Once Windows loaded, I decided to test it before I loaded any drivers or anything else.  It still hangs when shutting down, but at a different point.  Now it hangs on the blue screen that says "shutting down."  Have to hold down the button to make it turn off.  I am about to start loading drivers.  I had been thinking it could be a driver issue, but since the only thing on it is Windows, that doesn't make sense.  Unless perhaps the reason it did it is because there was a driver that needed updating....
